The OCA Bylaws specify that Officers be elected annually.
Officers and Directors are both Members of the Board.
The end of a term signals the Directors that it is time
to hold an election. In the case of a new Board Member, the Directors votes
to allow or not allow that person to become a Member of the Board. In the
case of an existing Director, the Board votes to support that Director or
votes to remove that Director. The OCA Bylaws state that the only way to
remove a Board Member is by a vote of the Board of Directors. As such, a
Directors continuation on the Board of Directors is automatically renewed
monthly until an election is held.
All votes are carried by majority.
Seven (7) Directors shall constitute a quorum of the
Board.
